CÔNG VĂN 4975/TCT-CS CHÍNH SÁCH THUẾ THU NHẬP DOANH NGHIỆP 2016
Ngày 09/09/2016, Tổng cục Thuế nhận được Công văn số 8767/CT-TT1 của Cục Thuế thành phố Hồ Chí Minh về chính sách thuế TNDN từ Công ty TNHH May Trịnh Vương (Công ty). Về vấn đề này, Tổng cục Thuế có ý kiến như sau:
1. Đối với khoản tiền Công ty cho Công ty TNHH MM XK Việt Mỹ vay không tính lãi suất:
Tại Điểm e Khoản 1 Điều 37 Luật quản lý thuế số 78/2006/QH11 ngày 29/11/2006 quy định Người nộp thuế nộp thuế theo phương pháp kê khai bị ấn định thuế trong trường hợp: “Mua, bán, trao đổi và hạch toán giá trị hàng hóa, dịch vụ không theo giá trị giao dịch thông thường trên thị trường;”
Căn cứ quy định trên, từ năm 2010 đến năm 2013, Công ty TNHH May Trịnh Vương cho Công ty TNHH MM XK Việt Mỹ vay vốn với lãi suất 0% thì hoạt động vay vốn trên là việc thực hiện trao đổi không theo giá giao dịch thông thường trên thị trường. Tổng cục Thuế thống nhất về ý kiến xử lý của Cục Thuế thành phố Hồ Chí Minh tại công văn số 8767/CT-TT1 ngày 9/9/2016 nêu trên, cụ thể: Công ty thuộc diện bị ấn định thuế theo quy định tại điểm e Khoản 1 Điều 37 Luật Quản lý thuế và các văn bản hướng dẫn thi hành.
2. Đối với khoản tiền Công ty tạm ứng cho cá nhân trong nội bộ Công ty
– Tại Khoản 1 Mục IV Phần C Thông tư số 130/2008/TT-BTC ngày 26/12/2008 và Khoản 1 Điều 6 Thông tư số 123/2012/TT-BTC ngày 27/7/2012 của Bộ Tài chính hướng dẫn về thuế thu nhập doanh nghiệp quy định các khoản chi được trừ khi xác định thu nhập chịu thuế TNDN như sau:
“1. Trừ các khoản chi nêu tại Khoản 2 Mục này, doanh nghiệp được trừ mọi khoản chi nếu đáp ứng đủ các điều kiện sau:
1.1. Khoản chi thực tế phát sinh liên quan đến hoạt động sản xuất, kinh doanh của doanh nghiệp;
1.2. Khoản chi có đủ hóa đơn, chứng từ hợp pháp theo quy định của pháp luật”.
– Tại Điểm 2.15 Khoản 2 Mục IV Phần C Thông tư số 130/2008/TT-BTC ngày 26/12/2008 và Điểm 2.16 Khoản 2 Điều 6 Thông tư số 123/2012/TT-BTC ngày 27/7/2012 của Bộ Tài chính hướng dẫn về thuế thu nhập doanh nghiệp quy định khoản chi không được trừ như sau:
“2.16. Chi trả lãi tiền vay để góp vốn điều lệ hoặc chi trả lãi tiền vay tương ứng với phần vốn điều lệ đã đăng ký còn thiếu theo tiến độ góp vốn ghi trong điều lệ của doanh nghiệp kể cả trường hợp doanh nghiệp đã đi vào sản xuất kinh doanh”.
– Tại Điều 22 Thông tư số 200/2014/TT-BTC ngày 22/12/2014 của Bộ Tài chính hướng dẫn về chế độ kế toán doanh nghiệp quy định nguyên tắc kế toán tài khoản 141:
“….
b) Khoản tạm ứng là một khoản tiền hoặc vật tư do doanh nghiệp giao cho người nhận tạm ứng để thực hiện nhiệm vụ sản xuất, kinh doanh hoặc giải quyết một công việc nào đó được phê duyệt. Người nhận tạm ứng phải là người lao động làm việc tại doanh nghiệp. Đối với người nhận tạm ứng thường xuyên (thuộc các bộ phận cung ứng vật tư, quản trị, hành chính) phải được Giám đốc chỉ định bằng văn bản.
c) Người nhận tạm ứng (có tư cách cá nhân hay tập thể) phải chịu trách nhiệm với doanh nghiệp về số đã nhận tạm ứng và chỉ được sử dụng tạm ứng theo đúng mục đích và nội dung công việc đã được phê duyệt. Nếu số tiền nhận tạm ứng không sử dụng hoặc không sử dụng hết phải nộp lại quỹ. Người nhận tạm ứng không được chuyển số tiền tạm ứng cho người khác sử dụng.
Khi hoàn thành, kết thúc công việc được giao, người nhận tạm ứng phải lập bảng thanh toán tạm ứng (kèm theo chứng từ gốc) để thanh toán toàn bộ, dứt điểm (theo từng lần, từng khoản) số tạm ứng đã nhận, số tạm ứng đã sử dụng và khoản chênh lệch giữa số đã nhận tạm ứng với số đã sử dụng (nếu có). Khoản tạm ứng sử dụng không hết nếu không nộp lại quỹ thì phải tính trừ vào lương của người nhận tạm ứng. Trường hợp chi quá số nhận tạm ứng thì doanh nghiệp sẽ chỉ bổ sung số còn thiếu…”.
– Tổng cục Thuế đã có công văn số 2323/TCT-CS ngày 30/5/2016 trả lời Cục Thuế thành phố Hồ Chí Minh, trong đó có nội dung về chính sách thuế TNDN.
Căn cứ các quy định nêu trên, đề nghị Cục Thuế thành phố Hồ Chí Minh xác định bản chất các khoản tiền của Công ty TNHH May Trịnh Vương chi cho bà Trịnh Thị Hồng Vân để xử lý về thuế phù hợp, đúng quy định của pháp luật.
Tổng cục Thuế trả lời để Cục Thuế thành phố Hồ Chí Minh được biết./.
